1. Introduction

• Before using the website krocads.com (the “Website”) and the services offered through it (the “Services”, together the “Platform”), please read these Terms and Conditions (“Terms”) carefully and in full. If you do not agree with these Terms, including any future updates, please stop using the Kroc Ads platform immediately.
• Use of the Kroc Ads platform and any of the Services constitutes your express agreement to these Terms (including any updates), even if you fail to review them.
• In order to create an account, you must agree to these Terms by a specific action (e.g. ticking a checkbox), which has the value of unequivocal consent.
• Kroc Ads is a crypto-focused advertising platform. It gives Advertisers (as defined below) the tools to (i) run self-serve advertising campaigns, and (ii) purchase sponsored articles and other marketing integrations through Kroc Ads’ Marketplace, which is fulfilled via Kroc Ads’ own network of publishers and partners.
• Kroc Ads does not operate a publisher-facing platform. Publishers and traffic sources that make up Kroc Ads’ delivery network are engaged directly by Kroc Ads under separate arrangements and are not Users of this Website. These Terms govern only the relationship between Kroc Ads and its Advertisers.

2. General Provisions & Definitions

• These Terms represent a legally binding agreement (the “Agreement”) between Kroc Ads (“Kroc Ads”, “we”, “us”, “our”) and Users of the Website, being:
  1. Individuals (at least 18 years old) or legal entities who wish to promote their websites, products, offers, and/or services through the Kroc Ads platform, or to purchase sponsored content/marketing integrations through the Kroc Ads Marketplace (“Advertisers” or “Users”);
  2. Individuals who browse the Website without registering an account (“Visitors”).
• By accessing the Website, opening an Account, or ticking the “I agree to the Terms and Privacy Policy” checkbox, you agree to be bound by these Terms and confirm you have read, understood, and accepted them, as well as our Privacy Policy and Cookie Policy.
• You may not use the Website or create an Account if you have not read, understood, and accepted these Terms in full.
• Kroc Ads does not perform identity verification (KYC) on Advertisers. We may still ask you to confirm or update basic account information (e.g. to correct an invalid email or investigate suspected fraud or abuse), and we reserve the right to request additional information where we are legally required to do so by applicable law, a competent authority, or a payment/blockchain partner.

3. Description of the Services

• Kroc Ads offers Advertisers two main ways to promote their offers:
  1. Advertising Campaigns — self-serve campaigns configured by the Advertiser (e.g. targeting, format, bid/CPM), delivered across Kroc Ads’ publisher network; and
  2. Marketplace — sponsored articles and other marketing integrations placed with specific publishers/outlets in Kroc Ads’ network, typically arranged with the help of a Kroc Ads representative.
• “Campaign” means an order placed by an Advertiser through the Platform, defined by a set of settings necessary to deliver an advertisement or sponsored content to Kroc Ads’ publisher network, for the purpose of promoting the Advertiser’s project.
• Advertisers get access to the Services only after creating a User account, subject to the conditions in these Terms.
• For Marketplace orders, pricing is agreed between the User and a Kroc Ads representative and is paid in advance from the User’s balance. For Campaigns, Advertisers set their own bid/budget; a lower bid may receive less or no traffic if other Advertisers are bidding higher for the same inventory.
• All Campaign data (impressions, clicks, and related statistics) is tracked and reported by Kroc Ads. Campaign data is retained for 1 (one) year, after which it is deleted.
• Other Services later added to the Platform are governed by these Terms unless separate terms are published for them.

4. User Account & Authentication

• To access the Services, you must create a User account by following the registration steps on the Website.
• Authentication is handled through Supabase Auth, via email/password or Google sign-in. Kroc Ads does not receive, process, or store your password on its own systems — authentication credentials are managed entirely by our authentication provider.
• You must confirm your email address to activate your account (e.g. via a confirmation code or link sent to the address you provide).
• Upon registration, you may optionally provide your Telegram handle to make communication with our team easier. Providing a Telegram handle is never mandatory.
• The information provided to create and maintain your account must be real, complete, and correct. If any of it changes, you must promptly update it in your account.
• For security reasons, sensitive changes to your account (e.g. billing details, login email) should be requested from the email address associated with your account, sent to the contact address listed in Section 17 (Contact).
• You are solely responsible for the security of your account and must not allow other persons to access it. Any breach or suspected breach of your account’s security must be reported to us immediately. Kroc Ads is not liable for damage resulting from a compromise of your account, device, or the email address linked to your account.
• A User may create multiple accounts, provided each is used in good faith and in line with these Terms.
• Your account balance (see Section 7) is a record kept for the purpose of using the Services — it reflects amounts available for spending on Campaigns and Marketplace orders. It does not represent funds held in custody or a deposit account, and does not accrue interest.
• We reserve the right to restrict, suspend, or delete accounts that have been inactive for 1 (one) year. We will attempt to notify you by email before doing so.
• You must not use bots, scripts, or other automated or deceptive means to interact with the Website in a way that circumvents its intended functionality or gives you or others an unfair advantage.

5. Eligibility & Restricted Territories

• The Services are available only to individuals aged 18 or older, or to legal entities acting through an authorized representative.
• You are solely responsible for ensuring that your use of the Platform — including the offers, products, and content you advertise — complies with all laws, licensing requirements, and regulations applicable to you in your jurisdiction(s) of operation. Kroc Ads does not verify and is not responsible for your regulatory or licensing compliance.
• Kroc Ads does not knowingly provide Services to, and will not enter into a business relationship with, individuals or entities domiciled, resident, or headquartered in a country or region subject to comprehensive sanctions under applicable sanctions regimes (including OFAC and EU sanctions lists), currently understood to include: Afghanistan, Belarus, Cuba, Democratic Republic of Congo, Iran, Iraq, Libya, Mali, Myanmar, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen, Zimbabwe, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine.
  • This list is provided for guidance and may change as sanctions regimes evolve; it is not exhaustive legal advice, and you remain responsible for confirming your own eligibility under the sanctions laws that apply to you.
• If we discover that a User is domiciled, resident, or headquartered in a restricted territory, we reserve the right to suspend or delete the relevant account, without this constituting a breach of these Terms on our part.

6. Campaign & Content Standards

• All content submitted for Campaigns or Marketplace orders (websites, banners, articles, press releases, and any promoted material) is subject to review and must comply with these Terms before going live.
• Kroc Ads reserves the right to reject, pause, or remove any Campaign or Marketplace order, without providing justification, including — without limitation — content that:
  1. violates applicable laws, regulations, or third-party rights;
  2. is illegal, deceptive, or promotes fraudulent investment or money-making schemes;
  3. promotes hate speech or discrimination of any kind (racial, political, ethnic, religious, gender-based, or otherwise);
  4. is NSFW / adult-only in nature;
  5. guarantees winnings, unrealistic returns, or otherwise misleads users;
  6. contains malware, exploits, or code designed to harm devices, browsers, or networks;
  7. uses deceptive UX (e.g. fake close buttons, forced redirects, disruptive pop-ups);
  8. relates to a token/coin project that lacks sufficient liquidity, a verifiable team, or an available contract for review.
• Campaigns are typically reviewed within 24–72 hours of submission, though review times may vary.
• If your Campaign’s landing page or the servers it points to cannot support the traffic delivered by Kroc Ads, we are not responsible for any resulting downtime or loss; we may suspend the Campaign until the issue is resolved.
• If you act as an agent for another individual or entity, you represent that you are authorized to bind that party to these Terms and that your actions are within the scope of that agency relationship.

7. Payments & Balance

• Kroc Ads accepts payment only in cryptocurrency, specifically: USDT (TRC-20 and ERC-20), BTC, and ETH. We do not accept bank transfers, card payments, or other cryptocurrencies at this time.
• Your account balance is displayed in USD only. Crypto deposits are converted to their USD-equivalent value at the time the deposit is confirmed on-chain, using a daily-updated exchange rate referenced from Binance. Kroc Ads is not liable for exchange-rate fluctuations between the time you initiate a transfer and the time it is confirmed.
• Network/miner fees and any blockchain transaction costs are borne entirely by the User and are not covered or reimbursed by Kroc Ads.
• To start running Campaigns or placing Marketplace orders, you must fund your account with a minimum deposit of $500 USD-equivalent.
• Your balance is spent as Campaigns run and Marketplace orders are fulfilled. If your balance reaches zero, all active Campaigns will be paused automatically until you add funds.
• Kroc Ads reserves the right to change Marketplace and Campaign pricing at any time; current prices are shown on the Website and should be checked before placing an order.
• Deposits should be made as a single, full transaction to the address provided. Kroc Ads reserves the right to review or delay crediting of unusually structured or split micro-transactions.
• Sending funds using the wrong network for the selected currency (e.g. sending USDT on an unsupported network) may result in permanent loss of funds, for which Kroc Ads is not responsible.

8. Refund Policy

• As a general rule, amounts credited to a User’s balance are non-refundable and cannot be withdrawn, converted back to crypto/fiat, or transferred to another account.
• Exception — undelivered Marketplace orders: if Kroc Ads fails to deliver a Marketplace order you have paid for (e.g. a sponsored article is not published), the amount paid for that order will be credited back to your account balance for use on future Services. Refunds under this exception are issued as balance credit only, not as a crypto or fiat payout.
• Advertisers may pause or stop their Campaigns at any time via the dashboard; unspent balance remains available for future use unless the account is closed or deleted.
• If Kroc Ads discontinues the Platform or terminates this Agreement for reasons not attributable to you, we will make reasonable efforts to let you use, or at our discretion credit back, any unspent balance.

9. Representations & Warranties

• You represent and warrant that you have full authority to enter into this Agreement and to perform your obligations under it.
• You represent and warrant that you are not using the Platform for any illegal purpose and that your use does not violate any applicable law or any third party’s rights, including intellectual property rights.
• You represent and warrant that any offers, products, services, or content you promote through Kroc Ads comply with all laws, licenses, and regulations applicable to you, and that you — not Kroc Ads — are solely responsible for holding any licenses, permits, or regulatory approvals required for your business activity and for the jurisdictions you target.
• You acknowledge that any information provided by Kroc Ads through the Website does not constitute financial, investment, or legal advice, and that Kroc Ads is not liable for decisions you make based on such information.
• Kroc Ads is not responsible for, and takes no position on, disputes between Advertisers and third parties (including publishers in its delivery network) arising from the promoted content.

10. Confidentiality

• Users agree to keep confidential all non-public information exchanged in connection with this Agreement (e.g. pricing, account information, correspondence with our team) and not to disclose it to third parties during or after the term of this Agreement.
• This obligation does not apply to information that is or becomes publicly available other than through unauthorized disclosure, or that must be disclosed under applicable law or by order of a competent authority.
• Users must not use information about other Users, or about Kroc Ads’ business or network, for their own or a third party’s commercial benefit, or in a way that competes with or harms Kroc Ads.

11. Intellectual Property Rights

• The Website’s content, design, structure, and underlying software are protected by applicable intellectual property laws and belong to Kroc Ads or its licensors.
• We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Website solely to use the Services, in accordance with these Terms. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Website without our written permission.
• Any trademarks, logos, or branding displayed on the Website belong to Kroc Ads or its licensors. Nothing in these Terms grants you a license to use Kroc Ads’ branding without our prior written consent.
• As an Advertiser, you retain all intellectual property rights in the content you submit (images, logos, copy, press releases, etc.). By submitting content for a Campaign or Marketplace order, you grant Kroc Ads and its publisher network a worldwide, non-exclusive, royalty-free license to host, reproduce, distribute, and display that content solely for the purpose of delivering the Services you requested.
• You warrant that any content you provide does not infringe any copyright, trademark, trade secret, or other proprietary right of any third party. If you are found to have provided infringing content, you are not entitled to a refund of amounts already spent, and Kroc Ads may suspend or terminate the relevant Campaign or order and hold you responsible for any resulting costs or claims.

12. Termination

• You may stop using the Services and request deletion of your account at any time by contacting us at the email listed in Section 17.
• Amounts owed for Campaigns or Marketplace orders already delivered or invoiced before termination are not refundable, subject to Section 8 (Refund Policy).
• Kroc Ads may terminate this Agreement at any time by giving you at least 15 days’ notice by email, except where a shorter or immediate notice is required to comply with the law or to address an imminent security, fraud, or abuse risk.
• Kroc Ads may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms — including by submitting prohibited content, engaging in fraudulent activity, or attempting to interfere with the Platform’s operation.

13. Force Majeure

• Kroc Ads is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to: network or blockchain outages, failures of third-party infrastructure or payment rails, government actions, and other unforeseeable events.

14. Limitation of Liability

• The Platform and Services are provided “as is.” Kroc Ads does not guarantee uninterrupted operation, that the Website is free of defects or harmful components, or that all information on the Website is accurate, complete, or provided in real time.
• Except in cases of intentional misconduct or gross negligence, Kroc Ads’ total liability to you is limited to the amount of fees you paid for the specific Service giving rise to the claim, during the relevant contract period.
• Kroc Ads is not liable for any loss or damage arising from or in connection with your use of the Services, including losses arising from the conduct of third-party publishers in its delivery network, and is not responsible for verifying that Users comply with applicable law.

15. Applicable Law and Jurisdiction

• These Terms are governed by generally recognized principles of contract law. Any dispute arising out of or in connection with these Terms will first be addressed through good-faith negotiation between the parties. [This clause will be updated to name a specific governing law and jurisdiction once Kroc Ads completes incorporation.]

16. Final Provisions

• You may not assign your rights or obligations under this Agreement without our written consent. Kroc Ads may assign this Agreement, including in connection with a future incorporation, restructuring, or transfer of the business.
• If any provision of these Terms is found unenforceable by a competent authority, the remaining provisions remain in full force and effect.
• These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kroc Ads regarding your use of the Platform.
• Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Kroc Ads.
• We may update these Terms from time to time. Material changes will be announced on the Website at least 15 days before taking effect, except where a shorter period is required by law or to address an urgent security or compliance issue. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
